Affiliate Agreement

This Affiliate Agreement governs the relationship between Position Calls ("Network") and any affiliate, publisher, or media buyer ("Affiliate") participating in the Position Calls pay-per-call affiliate program.

1. Enrollment

Affiliates must submit an application and be approved in writing before running any campaign. The Network reserves the right to decline applications at its discretion.

2. Campaigns and payouts

Approved campaigns, payout amounts, billable thresholds, disposition mapping, and settlement cadence are confirmed in writing during onboarding. Any change to campaign terms is communicated in advance in writing.

3. Traffic and compliance

Affiliate agrees to abide by the Call Quality Standards published at /call-quality, including the list of never-accepted traffic types. Violations may result in warnings, account pausing, or immediate suspension.

4. Sub-affiliates

Sub-affiliate traffic requires campaign-level approval and full disclosure. Affiliate is responsible for the compliance of all sub-affiliates operating under its account.

5. Tracking and reporting

The Network uses Ringba as its call tracking platform. Real-time reporting, dispositions, and postbacks are provided at the sub-ID level. Affiliate is responsible for the accuracy of any sub-ID or UTM data it passes.

6. Payments

Payouts are made on the cadence stated per campaign, contingent on receipt of a valid invoice and applicable tax documentation. Chargebacks, buyer clawbacks, or confirmed fraudulent events may be deducted from future payouts.

7. Confidentiality

Payout rates, buyer identities, campaign specifics, and internal Network operations are confidential. Affiliate agrees not to disclose them to third parties without prior written consent.

8. Termination

Either party may terminate this agreement in writing at any time. The Network may terminate immediately for material breach, fraud, or violation of the Call Quality Standards. Suspended accounts are ineligible to reapply for at least 30 days.

9. Independent contractor

Affiliate is an independent contractor. Nothing in this agreement creates a partnership, employment, or agency relationship.

10. Governing law

This agreement is governed by the laws of the United States and the state in which the Network is domiciled.
